SYSTEM DOCUMENTATION & REQUIREMENTS

What problem does it solve? Sales and business development teams receive a constant stream of inbound NDAs, and sending every one to legal creates bottlenecks while signing them blindly creates risk. This Skill sorts each NDA in under a minute so only the ones that genuinely need attorney attention consume lawyer time. ## Core Features & Use Cases - Three-bucket triage: Classifies NDAs as GREEN (route to signature), YELLOW (flag specific items for an approver), or RED (stop and escalate to legal) based on the team's own playbook positions. - Playbook-driven checks: Evaluates mutuality, definition of confidential information, carveouts, residuals, term and survival, restrictive covenants, fee-shifting, backup/archival carveouts, and governing law against positions stored in the practice-level CLAUDE.md configuration. - Scope and privilege guardrails: Detects documents labeled as NDAs that actually contain standstills, license grants, exclusivity, or IP assignments, and checks output destinations for privilege waiver risks. - Use Case: A sales rep receives a counterparty's mutual NDA before a product demo. The Skill applies the sales-side playbook, flags a non-solicit clause as YELLOW with a one-line recommended edit, and routes the rest as passing checks. ## Quick Start Review the attached NDA from Acme Corp and triage it against our playbook, telling me whether it is GREEN, YELLOW, or RED and what to do next.

FAQPage Schema
How do I triage an inbound NDA before sending it to legal?

Provide the NDA and the Skill classifies it as GREEN (route to signature), YELLOW (flag specific items for an approver), or RED (escalate to legal). It checks each provision against your team's playbook positions and outputs a structured summary with flagged items and next steps.

What NDA terms does the review check?

The review covers mutuality, definition of confidential information, the five standard carveouts, residuals clauses, term and survival periods, restrictive covenants like non-solicits and non-competes, attorneys' fees, backup and archival carveouts, and governing law. Thresholds for each come from your configured playbook, not hardcoded defaults.

Can the NDA review issue a GREEN without a configured playbook?

No. GREEN requires attorney-reviewed triage positions in the practice-level configuration. If positions are missing, the Skill issues YELLOW instead and prompts you to run the cold-start interview with commercial counsel to set them.

What happens if a document labeled NDA contains other obligations?

The Skill auto-flags it YELLOW regardless of the NDA-term analysis. Provisions like standstills, license grants, exclusivity, IP assignments, or non-competes mean the document is more than an NDA and gets routed for attorney review.

Does the NDA triage negotiate or redline the agreement?

No. The Skill only sorts and surfaces issues; it does not negotiate, draft NDAs, or make the call on YELLOW items. When edits are suggested, they are limited to small mechanical changes like striking a word or phrase, with anything complex routed to legal.
