This Skill helps you quickly assess whether an agreement’s intellectual property (IP) terms properly assign ownership and grant the right licenses, and whether the supporting warranties and indemnities are strong enough for real-world legal risk.

- IP clause risk review: Identifies issues in assignment/ownership, license scope (field, term, territory, sublicensing), and related warranties and indemnities.
- Employment/SOW “assignment gap” first: Prioritizes missing or weak assignment language where your side should be receiving rights, including further assurances and pre-existing IP carveouts.
